1. Definitions
In these Terms & Conditions, the following definitions apply:
- "EOS Tours", "we", "us", "our" — SPS EOS TOURS Ltd, a company registered in the Republic of Cyprus, trading as EOS Tours, operating as a Destination Management Company (DMC).
- "Partner", "you", "your" — the legal entity or licensed sole trader that has been approved by EOS Tours as a B2B partner and has been granted credentials to access the Partner Portal.
- "Portal" — the EOS Tours Partner Portal available at https://b2b.eos.tours and related subdomains.
- "Services" — any product or service offered by EOS Tours through the Portal, including but not limited to: tour packages, hotel bookings, transfers, attractions and excursions, guide services, restaurant bookings, and MICE/events.
- "Booking" — a confirmed reservation made by the Partner through the Portal for one or more Services on behalf of a Traveller.
- "Traveller" — the end-user beneficiary of a Service, whose details are submitted to EOS Tours by the Partner.
- "Net Rate" — the wholesale price charged by EOS Tours to the Partner, exclusive of the Partner's margin.
- "Supplier" — the underlying provider of a Service (hotel, transport company, excursion operator, guide, restaurant, etc.) contracted by EOS Tours.
2. Scope and Acceptance
2.1. These Terms & Conditions govern the B2B relationship between EOS Tours and the Partner.
2.2. By submitting a partner application and accepting these Terms during registration, the Partner agrees to be bound by this agreement.
2.3. These Terms apply to all Bookings made through the Portal. Any conflicting terms in Partner-issued purchase orders or other documents are expressly rejected unless agreed in writing by EOS Tours.
2.4. EOS Tours may update these Terms from time to time. Material changes require renewed Partner acceptance at next login. Minor changes (clarifications, typographical corrections) are published without renewed acceptance.
3. Partner Eligibility and Account
3.1. The Partner must be a registered legal entity or a licensed sole trader operating in the travel industry, with a valid tax registration in their country of operation.
3.2. EOS Tours reserves the right to approve or reject any partner application at its sole discretion, and to revoke access at any time for breach of these Terms.
3.3. Each Partner receives one (1) login credential per agency. The Partner is responsible for safeguarding their credentials and for all activity occurring under their account.
3.4. The Partner must promptly notify EOS Tours of any suspected unauthorised access.
4. Net Rates and the Partner's Margin
4.1. All prices displayed in the Portal are Net Rates, exclusive of any margin or commission.
4.2. The Partner is free to set their own selling price to Travellers. EOS Tours has no role in the pricing or sale to Travellers and makes no warranty or representation regarding the Partner's resale activities.
4.3. Net Rates are quoted in EUR unless otherwise specified, and remain valid only for the duration stated in the quotation.
4.4. EOS Tours may revise Net Rates at any time. Revised rates apply only to new quotations issued after the change; confirmed Bookings retain their original Net Rate.
5. Booking and Payment Schedule
5.1. The Partner submits Bookings through the Portal. A Booking is confirmed only after EOS Tours' written confirmation and receipt of the required deposit.
5.2. Payment schedule for all Bookings:
- 30% deposit — due within 7 (seven) calendar days from booking confirmation.
- 70% balance — due no later than 30 (thirty) calendar days prior to the Service start date.
5.3. For Bookings made within 30 days of the Service start date, 100% payment is due upon confirmation.
5.4. Failure to meet payment deadlines may result in cancellation of the Booking at EOS Tours' discretion, with cancellation charges per §6 applied to amounts already paid.
5.5. All payments are made by bank transfer to the EOS Tours account specified on the invoice. Bank charges on the Partner's side are borne by the Partner; bank charges on EOS Tours' side are borne by EOS Tours.
5.6. EOS Tours issues invoices to the Partner. The Partner is solely responsible for issuing any invoices or receipts to the Traveller.
6. Cancellation Policy
Cancellation tiers vary by Service type. The schedule below applies unless overridden by stricter Supplier conditions (in which case the stricter terms prevail and will be disclosed in the Booking confirmation).
Notice period is counted in calendar days before the first date of the relevant Service.
6.1. Hotels
Hotel cancellation terms are governed by the specific Supplier contract applicable to each Booking and will be disclosed in the Booking confirmation. The default schedule applied where the underlying Supplier contract is silent is:

6.2. Transfers, Attractions, Excursions, Guides, and Restaurants
A single schedule applies across these Service categories:

6.3. Tour Packages
Tour Packages combine multiple Services. The cancellation policy of the most restrictive component applies to the whole package, unless EOS Tours confirms otherwise in writing at the time of Booking.
6.4. Cancellation procedure
All cancellations must be submitted through the Portal or by email to a designated EOS Tours contact. Cancellation is effective from the date and time the written notice is received and acknowledged by EOS Tours. Verbal cancellations are not accepted.
6.5. Refunds
Refunds (after deduction of applicable cancellation charges) are issued to the originating bank account within 30 calendar days of the cancellation acknowledgement.
7. Service Standards
7.1. EOS Tours warrants that Services provided through the Portal are:
- contracted directly with reputable, licensed Suppliers;
- delivered to professional industry standards;
- consistent with the descriptions, inclusions, and exclusions stated in the Booking confirmation.
7.2. If a Service is not delivered as described, the Partner must notify EOS Tours within 48 hours of the issue arising. EOS Tours will use reasonable efforts to resolve the issue, including providing remedies or refunds at its discretion.
7.3. EOS Tours does not warrant or represent:
- the resale or marketing activities of the Partner;
- the suitability of any Service for any specific Traveller;
- the personal experience or satisfaction of any individual Traveller.
7.4. The Partner is solely responsible for advising the Traveller about all conditions, restrictions, and requirements of the Services, including health, safety, accessibility, and travel documentation.
8. Traveller Relationship and Indemnification
8.1. The contractual relationship with the Traveller is exclusively between the Partner and the Traveller. EOS Tours has no direct contractual obligations to the Traveller.
8.2. The Partner shall:
- communicate accurate and complete information about the Services to the Traveller;
- ensure the Traveller has appropriate travel documentation and insurance;
- handle Traveller complaints and refund requests in the first instance.
8.3. The Partner shall indemnify and hold EOS Tours harmless against any claim, loss, or damage arising from:
- the Partner's resale activities, including pricing and representations to Travellers;
- inaccurate or incomplete information provided by the Partner to EOS Tours about the Traveller;
- the Partner's failure to comply with applicable consumer protection laws in their jurisdiction.
9. Personal Data of Travellers
9.1. The Partner submits personal data of Travellers to EOS Tours (names, dates of birth, passport details, dietary and accessibility requirements, emergency contacts) for the sole purpose of fulfilling Bookings.
9.2. The Partner warrants that they have obtained all necessary consents from Travellers under applicable data protection laws (including GDPR where applicable) prior to submitting such data to EOS Tours.
9.3. EOS Tours processes Traveller personal data in accordance with the Privacy Policy.
9.4. EOS Tours may share Traveller data with the Suppliers necessary to deliver the Service (e.g., hotel for check-in, transfer company for pickup).
10. Intellectual Property and Marketing
10.1. All content available in the Portal — including text, images, brochures, marketing kits, logos, and Service descriptions — is the property of EOS Tours or its licensors.
10.2. EOS Tours grants the Partner a limited, non-exclusive, non-transferable, revocable license to use marketing materials made available through the Portal for the sole purpose of marketing and reselling EOS Tours Services to Travellers.
10.3. The Partner shall not:
- modify EOS Tours' logo or branding;
- republish content in a way that misrepresents EOS Tours;
- use EOS Tours' name or branding after termination of the partnership.
11. Force Majeure
11.1. Neither party is liable for failure to perform obligations caused by events beyond their reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemics or public health emergencies, strikes, embargoes, or failure of critical infrastructure.
11.2. The affected party must notify the other party as soon as reasonably possible and use commercially reasonable efforts to mitigate the impact.
11.3. If a force majeure event prevents the delivery of a Service, EOS Tours will offer the Partner: rebooking to alternative dates, replacement with an equivalent Service, or refund (minus non-recoverable Supplier costs), at EOS Tours' discretion.
12. Limitation of Liability
12.1. To the maximum extent permitted by applicable law, the total cumulative liability of EOS Tours to the Partner for any claim arising under these Terms is limited to the total amount actually paid by the Partner to EOS Tours in respect of the specific Booking giving rise to the claim.
12.2. EOS Tours is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of reputation, or loss of goodwill.
12.3. Nothing in this section limits liability for: wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable Cyprus law.
13. Governing Law and Dispute Resolution
13.1. These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus.
13.2. Any dispute arising out of or in connection with these Terms shall first be addressed by good-faith negotiation between the parties for a period of 30 calendar days from written notice of the dispute.
13.3. If negotiation fails, the dispute shall be finally resolved by international arbitration under the Arbitration Rules of the German Arbitration Institute (DIS), with the seat of arbitration in Nicosia, Cyprus, conducted in the English language, by one (1) arbitrator.
13.4. The arbitral award is final and binding on both parties.
14. Termination
14.1. Either party may terminate this agreement by giving 30 calendar days written notice to the other party.
14.2. EOS Tours may terminate immediately for: material breach by the Partner not cured within 14 days of written notice; insolvency of the Partner; or repeated violation of these Terms.
14.3. Termination does not affect:
- accrued payment obligations;
- confirmed Bookings, which are honoured until completion subject to all applicable terms;
- ongoing data protection and confidentiality obligations.
